# Terms and conditions

*This is a translation. The German version is legally binding.*

Last updated: October 2026

## § 1 Scope

(1) These terms apply to all contracts between Florian Fürst, fuerst.ai, Kaiserstraße 61, 60329 Frankfurt am Main, Germany ("fuerst.ai"), and his clients for consulting, coaching, workshops, talks and the implementation of automations, portals and AI applications.

(2) fuerst.ai only enters into contracts with businesses within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. No contracts are concluded with consumers within the meaning of § 13 BGB. When placing an order or booking, the client confirms that they are acting as a business.

(3) Deviating terms of the client only apply if fuerst.ai expressly agrees to them in text form. Individual agreements, in particular in the quote, take precedence over these terms.

## § 2 Conclusion of contract

(1) The initial call is free of charge and non-binding.

(2) For packages and projects, fuerst.ai prepares a quote in text form. The contract is concluded when the client accepts the quote in text form.

(3) Clients book coaching online via the appointment booking on fuerst.ai (provided by Google). The client chooses a slot, enters their details, confirms that they are acting as a business and pays via Stripe. Until submitting, they can review and correct their entries. By submitting, they make a binding offer; the contract is concluded with the booking confirmation by email.

(4) The language of the contract is German. This English version is a translation; the German version prevails. These terms are available at fuerst.ai/en/agb and can be saved and printed.

## § 3 Services

(1) Scope, period and results follow from the quote or the booking.

(2) Consulting, the readiness check, coaching and workshops are services; what is owed is their professional delivery, not a particular economic result. Whether the implementation (the packages “First AI automation” and “AI agents and ongoing support”) is owed as a work subject to acceptance is set out in the quote.

(3) fuerst.ai also uses AI tools in its work. AI systems that fuerst.ai builds for the client can produce incorrect results. The client decides which results are reviewed by people before use; fuerst.ai advises them on this.

(4) fuerst.ai may engage qualified subcontractors and informs the client beforehand. If a subcontractor processes personal data of the client, § 9 (2) also applies.

## § 4 Client cooperation

The client provides the necessary information, access and contacts in good time. If the work is delayed because this cooperation is missing, dates shift accordingly; fuerst.ai may charge additional effort on a time basis.

## § 5 Prices and payment

(1) All prices are net prices plus statutory VAT.

(2) Coaching is paid on booking via Stripe. For packages and projects, the payment terms of the quote apply; otherwise invoices are due within 14 days without deduction.

(3) Running costs for software, hosting and AI usage are borne by the client and, unless agreed otherwise, paid directly to the provider.

## § 6 Rescheduling and cancellation

(1) The client can cancel a coaching session free of charge up to 48 hours before it begins; a price already paid is then refunded. The client can reschedule the session up to 24 hours before it begins. For a later cancellation, a later rescheduling or if the client does not attend, the price remains payable.

(2) If fuerst.ai has to cancel a session, fuerst.ai offers a new date or refunds the price, at the client's choice.

(3) For workshops, talks and projects, the terms of the quote apply.

## § 7 Rights to results

(1) Upon full payment, the client receives a non-exclusive right, unlimited in time and place, to use the results created for them (workflows, configurations, documentation) for their own purposes, including the right to modify them.

(2) fuerst.ai may continue to use general know-how, templates and reusable components it has developed independently of the engagement. Third-party rights, for example to software such as n8n or Softr, are governed by their licence terms.

## § 8 Liability

(1) fuerst.ai is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee.

(2) In cases of slight negligence, fuerst.ai is only liable for breach of an essential contractual obligation, that is, an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the client may rely. Liability is then limited to the foreseeable damage typical for the contract.

(3) fuerst.ai is only liable for loss of data to the extent that the damage would also have occurred if the client had backed up their data in the usual way.

## § 9 Confidentiality and data protection

(1) Both parties treat the other party's confidential information as confidential, also after the contract ends.

(2) If fuerst.ai processes personal data on behalf of the client, the parties conclude a data processing agreement under Art. 28 GDPR.

(3) fuerst.ai only names the client as a reference with their consent.

## § 10 Final provisions

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) If the client is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Frankfurt am Main.

(3) If a provision is invalid, the rest of the contract remains valid.
